Dubai Investments is listing a 20% stake in DIP Holding on the Dubai Financial Market — the owner of Dubai Investments Park between Jebel Ali Port and Al Maktoum International Airport. With six days left until the subscription closes on 3 November 2026, we review what the prospectus reveals about financials and the dividend profile, per WAM and prospectus materials.
Key terms of the offering
On offer are 1,735,243,300 ordinary shares, representing 20% of DIP Holding's issued share capital — all existing shares held by sole shareholder Dubai Investments PJSC (DFM: DIC). The company itself receives no proceeds: this is a parent-level sell-down rather than a capital raise. It is the UAE's first IPO of 2026 after an extended pause.
Subscriptions are open from 27 October to 3 November 2026 inclusive. The price range was announced on 27 October, with the final price to follow on 4 November via a book-building process in the second (institutional) tranche, which accounts for 92% of the deal. Trading on DFM is expected to begin on or around 11 November 2026.
What the 2025 and H1 2026 reports show
According to DIP Holding prospectus figures cited by Khaleej Times on 28 October 2026, the business has delivered a steady three-year growth path:
- Revenue 2025: AED 960m (2024: AED 892m; 2023: AED 838m).
- Adjusted EBITDA 2025: AED 678m.
- Net profit 2025: AED 1.09bn.
- Revenue H1 2026: AED 492m, up 7% like-for-like year-on-year.
- Ground lease occupancy: 99.9% as of 30 June 2026 — effectively full utilisation of the portfolio.
Dividend policy through 2028
DIP Holding has set out annual dividend guidance:
- 2026: AED 700m;
- 2027: AED 725m;
- 2028: AED 750m.
The first post-IPO payment is AED 350m in April 2027. CEO Omar AlMesmar has described the business as having an "infrastructure-like" model: predictable cash flows via long-dated ground leases and subleases. For long-term investors, this is closer to a REIT-style story than an operating developer.
Revenue mix in H1 2026 — where income comes from
Segment breakdown for the first half of 2026, as reported by Khaleej Times from the prospectus:
- Ground rent: AED 302m (around 62% of H1 revenue) — long-term land leases inside DIP;
- Ancillary income: AED 98m — supporting services across the park;
- Subleasing: AED 92m.
Dubai Investments Park covers about 23 million sqm between Jebel Ali Port and Al Maktoum International Airport, with roughly 1,000 tenants, around 5,700 subleases and more than 150,000 residents (focus.hidubai.com). The ground-rent weighting underpins the model: long contracts, low cyclicality.
Timeline — what to do before subscription ends
Retail investors can access the first tranche — 5% of the offering (86,762,165 shares) — with a minimum of AED 5,000. Payment cut-offs (UAE time, all by 1pm):
- 31 October 2026: cheque payments;
- 2 November 2026: PGS/FTS/SWIFT bank transfers;
- 3 November 2026: ATM, internet and mobile banking.
Allocations and refunds of surplus funds are scheduled for 10 November 2026. We have covered the step-by-step retail subscription guide from AED 5,000 via iVESTOR and seven receiving banks separately.
What it means for UAE-based investors
DIP Holding reopens the UAE IPO window in 2026 and reinforces a trend of major listings in commercial real estate and infrastructure. Against the broader UAE economic outlook for 2026, a predictable ground-rent portfolio with a declared dividend ladder stands on its own as a long-horizon investment case. Shariah compliance of the offering is confirmed by the ISSCs of Emirates NBD and Dubai Islamic Bank.
